Experience

Rushabh Soni concentrates his practice on commercial real estate and corporate matters, with a focus on guiding clients through complex transactions involving redevelopment projects, commercial leasing and property acquisitions. Mr. Soni regularly advises clients on navigating state and municipal incentive programs, including property tax exemptions and NJEDA tax credits. As part of his land use practice, Mr. Soni represents applicants in connection with a wide variety of multi-family residential, commercial, and institutional projects.

In the corporate arena, Mr. Soni counsels clients on entity formation, corporate governance, and contract negotiation, and frequently assists businesses with real estate-related joint ventures and asset purchases.

Before joining Windels Marx, Mr. Soni was an Associate in the New Jersey office of a boutique law firm. Prior to that, he served as Counsel at the Public Company Accounting Oversight Board (PCAOB) in the Office of the General Counsel, working primarily on corporate and securities matters. At the PCAOB, he conducted legal research on corporate governance and securities issues, negotiated commercial contracts, and supported the Board’s rulemaking agenda. He also supported the Division of Enforcement and Investigations, reviewing Regulation S-X enforcement orders and settlements.

Prior to the PCAOB, Mr. Soni interned at the U.S. Securities and Exchange Commission (SEC) in Washington, D.C. on two occasions. In his first internship at the SEC, he was in the Division of Corporation Finance focusing on Regulation S-K rulemakings. In his second internship, Mr. Soni was in the Division of Examinations where he worked on matters involving the Investment Advisers Act and broker-dealer violations under the Exchange Act. Mr. Soni also interned at the Investment Adviser Association in Washington, D.C. where he advocated for fiduciary investment advisers.

Academia

  • During his time in law school, he was the Senior Articles Editor of the American University Business Law Review and has a concentration in corporate and securities law as part of the Corporate Compliance Certificate Program.
  • At Pennsylvania State University, where he earned his B.A. and graduated as a Schreyer Honors Scholar and Paterno Fellow, he was the Managing Editor of the campus literary magazine and a highly rated writing tutor.
  • Mr. Soni also worked as a real estate and immigration paralegal.

He is fluent in both Hindi and Gujarati.
