Experience
Jason Siev is an Associate in the firm’s New York office and a member of the Corporate practice. His practice focuses on transactional matters, with an emphasis on real estate joint ventures, private investment vehicles, and related financing matters. He advises clients on a broad range of corporate and real estate transactions.
Prior to Windels Marx, he practiced at a New York-based boutique law firm with a particular focus on Corporate & Securities law. There, he counseled startups, entrepreneurs, and private investment funds in connection with securities offerings, corporate transactions, commercial agreements, and regulatory matters. Prior to that, Jason was an intern with several law firms, in addition to the U.S. Air Force JAG Corps. He also interned at the Cardozo Tech Startup Clinic and a hospitality management startup.

- Represented a private equity fund focusing on acquisition and operation of dental practices in its private placement of up to $100,000,000.
- Represented a fund of funds in its investments in a private equity fund and a real estate syndication fund via private placements of up to $10,000,000 each.
- Represented multiple real estate syndications of various sizes in numerous private placements.
Acquisitions and Joint Ventures
- Represented a blockchain real estate startup in a “acqui-hire” acquisition of a title and escrow company.
- Represented an athlete investing startup in its acquisition of a funding portal and managed the FINRA FP-CMA process.
- Represented a Web3 consulting startup in a blockchain joint venture, drafting formation and governance documents, master services agreements, and statements of work.
