Ben focuses his practice on general corporate, commercial, and transportation matters, regularly advising clients through complex transactions, corporate restructuring, and commercial disputes.

Prior to joining Windels Marx, Ben served as General Counsel to a portfolio of companies within the New York City for-hire-vehicle industry. In this role, he led a series of successful restructuring initiatives and strategic transactions, helping the companies navigate a highly competitive market and pivot toward a growth trajectory. Ben regularly advised both startups and traditional transportation companies on comprehensive corporate matters, including mergers and acquisitions, regulatory compliance, labor and employment, and corporate governance.

A significant portion of Ben's practice is dedicated to structuring, negotiating, and drafting a wide array of commercial agreements. He is highly skilled at tailoring contract language to achieve the specific strategic purposes and risk profiles of each deal. Known for his ability to digest dense, multifaceted legal issues, Ben excels at articulating complex concepts in plain English, ensuring that his clients have a clear, actionable understanding of their transactions. His transactional background includes preparing bespoke financing and refinancing documents, managing UCC Article 9 transactions, and advising on complex loan workouts, foreclosures, and real estate matters.

Ben also brings substantial dispute resolution experience to his corporate practice, successfully navigating commercial litigation for sophisticated parties. Notably, he successfully defended against the termination of a loan buyback obligation that a national bank sought to enforce (Valley National Bank v. Paige One LLC; Index No. 657354/2017).
