Experience
Ben’s practice focuses on representing major domestic and international commercial and investment banks, regional banking institutions, and non-bank lenders in a broad range of sophisticated commercial lending and corporate finance transactions. His experience encompasses syndicated and bilateral credit facilities, asset-based lending, secured and unsecured financing, revolving credit and term loan facilities, acquisition financing, working capital facilities, and other complex commercial financing arrangements.
Ben advises clients throughout the lifecycle of lending transactions, including transaction structuring, due diligence, negotiation, documentation, and closing. His practice includes advising lenders on collateral and security arrangements, guaranties, intercreditor agreements, loan amendments, refinancings, and restructurings.
Before joining Windels Marx, Ben was general counsel of a direct lender focused on asset-based lending, factoring, and trade finance. His background as both outside counsel and a senior legal executive provides him with a practical understanding of lenders’ commercial objectives, risk considerations, and transaction execution requirements.
Earlier in his career, Ben worked at an international law firm and a nonprofit legal services organization.
Ben received his J.D. from Benjamin N. Cardozo School of Law, where he served as an Articles Editor of the Cardozo Law Review.
