Deal Announcement - Bruce Bronster and Team Bring Unique Blend of M&A, Wine and Spirits and Hospitality Industry Knowledge to Complex Private Sale

Bruce Bronster (Partner, New York) together with David Graff (alumnus) and Christopher Chin (Special Counsel, New York) closed a complex, private sale within the wine and spirits industry, and for one of the formidable names in the business.

The team represented three parties as sellers' counsel, in a transaction that included state liquor and bulk sale laws, as well as operating, employment and trademark considerations. Their work involved:

  • negotiating and drafting a membership interest purchase agreement;
  • leveraging substantial debts and complex earn-out provisions;
  • coordinating various subject matter experts for the banking, accounting and regulatory / state liquor authority issues;
  • negotiating and drafting a tri-party escrow agreement with an international financial institution and purchasers;
  • negotiating and drafting various trademark assignments for multiple private label products, as well as the international division of one of the sellers;
  • negotiating and drafting various exclusive national licenses regarding private label products; and
  • dissolving certain limited liability companies.
