Press Release - Windels Marx Announces the Promotion of Samuel M. Mizrahi to Special Counsel
Real Estate Industry-Focused Lawyer is Counsel on Deal Structurings and the Defense of Client Interests in Both New Jersey and New York

(New York, NY) Windels Marx today announced the promotion of Samuel M. Mizrahi to Special Counsel, effective October 1, 2011. Resident in the New Brunswick, NJ office, Sam counsels clients in both New Jersey and New York on real estate acquisitions and sales, leasing, financing, litigation, workouts, restructurings and foreclosures.

Sam provides counsel in both the structuring of transactions and also prosecutes and defends client interests where disputes arise. In transactional matters, he has represented:

  • a developer in the $220 million sale of multiple properties;
  • a national financial institution in a $100 million loan encumbering multiple properties;
  • a developer in a 209,000 square foot build-to-suit lease to a Japanese pharmaceutical company; and
  • a developer in a 103,000 square foot lease to a large New Jersey law firm and a related $45 million construction loan.

Significant disputes on which he has served an instrumental role include:

  • obtained an award of summary judgment in favor of a large institutional lender adjudicating the lender's right to lien priority and declaration of its right to payment in a $400 million construction project;
  • obtained a $50 million judgment against a prominent real estate developer in New York City, along with dismissal of various lender liability claims;
  • negotiated and obtained the agreement of a major title insurer to pay for the client's defense costs in conjunction with a failed construction project involving challenges to the lender's lien priority and negligence in administering project funds;
  • represented a court-appointed receiver and fiduciary in its role as custodian for distressed real property and as receiver; and
  • negotiated the complex workout and restructuring of a six-tier New York construction loan for a large institutional lender.

Sam is admitted to the bars of New Jersey and New York. He received a J.D., cum laude, from New York Law School (1993), where he was the Editor-in-Chief of the New York Law School Law Review, and a B.S. in electrical engineering, with a computer science option, from Polytechnic Institute of New York (1985).
