We advise clients on a wide range of general corporate issues, including corporate strategy, compensation, franchising and licensing, directors’ and shareholders’ meetings (both contested and uncontested), securities listings, and stock transfer practices.

Representative Matters

  • Represented an organizer of trade conferences in the steel commodities industry, and related publications business.
  • Represented numerous clients in connection with payment disputes, including issuance of demand letters and negotiation of settlement agreements as well as enforcement of settlement agreements.
  • Represented biotechnology mutual funds in private equity investments in publicly traded entities.
  • Represented a cannabis dispensary operator from inception to operation, supporting the license application, structuring the business to minimize the impact of IRC Section 280E, preparing private equity investment documentation and closing on financing for the acquisition of the storefront in a former bank building.
  • Structured and documented equity participations for a major investment banking firm, through partnership or membership interests, in numerous real estate projects in New York and throughout the United States.
  • Represented a Norway-based investment firm in the acquisition of various U.S. based real estate assets.
  • Structured and negotiated the $100 million sale of an aviation components manufacturing business.
  • Advised on American securities and business law in connection with the establishment of an international company with over $5 billion in assets.
  • Advised an equipment manufacturer headquartered in Europe, with operations in the United States, on the sale of its stock.
  • Represented the seller of a metal stamping business headquartered in the United States and with operations in the People's Republic of China.
  • Structured a joint venture of international entities for the development of a cogeneration project in Asia and advised on construction and power purchase contracts.
  • Acted as United States counsel to a multinational mining and metals company in the acquisition of $350 million of secured export notes issued by a Brazilian mining company.
  • Counseled two investment advisory groups in the creation of investment funds supported by the Overseas Private Investment Corporation; one fund was designed to make direct equity investments in businesses located or operating in sub-Saharan Africa, while the other was formed to make direct equity and real estate-related investments in Armenia, Azerbaijan and Georgia.
  • Represented the sponsor of a private real estate investment fund in all facets of the fund, including establishing the fund and the fund’s capital raising.
  • Represented a Canadian manufacturer in the acquisition of a series of machinery manufacturing plants and related assets in the United States, including one auction under Bankruptcy Court supervision.
  • Developed practical and economical procedures for a large foreign client to acquire a series of small start-up companies in the United States.
  • Represented foreign clients in a large joint venture project in South America.
  • Investigated and developed evidence of fraudulent securities transactions in Europe and the United States that resulted in a recovery of millions of dollars for investors.
  • Prepared agreements to license manufacturing and product technology to companies in several European nations.
  • Serve as outside general counsel to a number of privately-owned and publicly-traded companies.
